Memorandum of Cooperation
本项目合作备忘录（“备忘录”）由以下双方于2013年某月某日在XX共和国首都XX签订：
Memorandum of Understanding of the project (the "Memorandum") is signed by the following two parties in XX, the capital of the Republic of XX on X X, 2013:
甲方：XX财政和经济管理部，以上两个职能部门是XX政府指定的针对救助平民的安居住宅项目主管部门，它们共同代表XX政府组织和落实项目合作架构并推动项目的实施。
Party A: XX Financial and Economic Management Department, the above two functional departments are residential housing project competent departments aiming to aiding civilians designated by the XX government, which jointly organize and implement the project cooperation framework as well as promote the implementation of the project on behalf of the XX government.

乙方：XX市有限公司，是在中华人民共和国（“中国”）XX省XX市登记注册的一家具有国家甲级建筑设计和国家甲级总承包资质的设计公司，具有51年历史，设计和承包建设了大量的优秀建筑作品。具有中国政府核发的对外承包工程资格。主要营业地址位于中国XX省XX市XX区XX路XX号。
Party B: XX Co., Ltd, a design company with national class A architectural design and national class A general contracting qualification registered in XX City, XX Province, the People's Republic of China ("China"), with 51 years’ history, which has designed and constructed a large number of outstanding architectural works. It has the foreign contracted projects qualification approved and issued by the Chinese government. Its main business address is No. XX, XX Road, XX District, XX City, XX Province, China.
鉴于，2012年3月1日，XX遭受了超强飓风 “XX”的袭击，造成了巨大的财产损失和人员伤亡。当前，XX政府领导正积极从事灾后的重建工作。为此，XX政府计划在XXX（项目地点）建造XXXXX套救灾居民住宅项目（“项目”）来帮助居民解决居住问题。项目的建设规模是：XXXX套40-50平方米/户，XXXX套50-60平方米/户，XXXX套60-80平方米/户的住宅，以及相配套的小区基础设施。
Whereas, XX suffered from the attack by the strong hurricane "XX", causing huge property losses and casualties on March 1, 2012. At present, the XX government leaders are actively engaged in the post-disaster reconstruction work. So, XX government plans to build XXXXX sets of relief residential project (the "project") in XXX (project site) to help people solve the residential problem. Project construction scale: Residence of XXXX sets of 40-50 square meters/house, XXXX sets of 50-60 square meters/house, XXXX sets of 60-80 square meters/house and the corresponding community infrastructure.
乙方针对甲方的需求愿意承担项目前期的规划设计工作，并将按照中国政府的相关要求办理相关手续以完成项目建设的工程总承包工作。双方通过项目现场考察和交流，经过友好协商，达成了合作开发和建设XX安居住宅项目的共识以及如下合作备忘内容：
Party B is willing to undertake the pre-project planning and design work according to Party A's requirements, and deal with relevant formalities in accordance with the relevant requirements of the Chinese government to complete the general contracting work of the project construction. Through project site visits and exchanges and friendly consultations, both parties reached a consensus of cooperative development and construction of XX residential housing project, and the Memorandum content is as follows:
1、合作项目
1. Cooperation project
甲方对乙方为项目所作的概念性规划设计和各类单体住宅户型方案表示认可和肯定，并代表XX政府，同意委托乙方开展项目前期工作并由乙方承担项目未来的工程总承包工作。在项目得到XX政府批准并获得议会通过后，双方将就项目工程总承包内容进行商务谈判，签订工程总承包合同，并将按照双方商定的模式申请中国政府优惠买方信贷以落实项目资金。双方约定工程造价将按照永久性房屋计价，工程量将按照实际工程量进行计算。
Party A shows recognition and affirmation to Party B’s conceptual planning design and all kinds of monomer housing type scheme for the project, and agrees to entrust Party B to carry out the pre-project work and undertake the future general engineering contracting work on behalf of XX government. Upon the XX government’s approval and passed by parliament, the two parties will conduct business negotiations as to the content of general project engineering contracting, sign general engineering contract, and apply for the Chinese government preferential buyer's credit to implement the project funding in accordance with the agreed mode. Both parties agree that the project cost will be valuated according to the permanent housing, and project amount will be calculated according to the actual quantity.
本备忘录的签署作为双方开展项目前期工作和今后工程总承包工作以及办理相关融资程序和手续的依据。
Signing of this memorandum is the basis of preliminary work of the project and the future general contracting work as well as handling the related financing procedures and formalities by two parties.
2、双方的责任
2. Responsibilities of both parties
（1）甲方
(1) Party A
A. 应为项目的开发建设提供政策性指导和支持，包括以XX政府名义安排其所属的社会保险保障基金提供相当于项目总额15%启动资金，并积极组织和安排气候变化和灾难救助部和财政和经济管理部向中国政府主管部门以及银行等金融机构提出政府担保性质的借款融资申请，推动中国政府方面支持XX政府方面同乙方合作完成项目；
A. shall provide policy guidance and support for project development and construction, including arranging its belonging social insurance guarantee fund to provide start-up capital equivalent to 15% of the total project amount in the name of the XX government, and actively organize and arrange the Climate Change and Disaster Relief Department & the Financial and Economic Management Department to apply for government guarantee loan financing to the competent departments of the Chinese government and banks and other financial institutions, to promote the Chinese government support for XX government’s cooperation with Party B to complete the project;
B. 为乙方开展该项目的规划设计和总承包工作提供所需的技术经济资料和项目建设环境调查与评估的便利条件，以及保障该项目建设所需要的土地资源；
B. Shall provide the required technical and economic data and favorable conditions of project construction environmental investigation and evaluation for Party B to carry out the project planning and design and general contracting work, as well as ensure the land resources needed by project construction;
C.应为乙方工作人员办理入境签证和工作签证等手续提供便利并保证乙方在工作期间的人员和财产安全。
C. Shall facilitate Party B's working staff to handle the entry visa and working visa formalities and ensure personnel and property safety of Party B during the work.
（2）乙方
(2) Party B
A.乙方应认真对项目及现场进行调查研究，并尽快向甲方提交项目的初步规划设计（包含项目的预可行性研究）方案，经甲方审核通过后，双方可以进行该项目的商务谈判，签订项目规划设计合同；
A. Party B shall investigate the project and the site carefully, and submit project preliminary planning and design (including project pre-feasibility study) to Party A as soon as possible, and upon Party A’s approval, both parties can carry out the project business negotiation and conclude a contract for the project planning and design;
B.乙方根据甲方审查通过的初步规划设计方案进行项目设计，报甲方评审通过后，双方进行总承包商务谈判，并签订项目总承包合同；
B. Party B shall carry out project design according to the preliminary planning design scheme reviewed and approved by Party A, after submitting to Party A and upon Party A’s approval, both parties carry out general contracting business negotiation and sign a general contract of project;
C．按程序和进度向甲方提供各阶段的项目设计文件和资料，并提供相关技术咨询服务。
C. Party B shall provide Party A with the project design documents and data of each stage according to the procedure and schedule, and provide related technical consultancy services.
3、费用
3. Cost
双方同意在项目前期各自承担因履行本备忘录之义务而各自产生的所有成本费用，项目的总价及实施步骤将在双方签订项目工程总承包合同时进行确定。
Both parties agree that they shall bear all costs due to fulfilling the obligations of this Memorandum respectively in the early stage of the project, and the total project price and implementation steps will be determined when both parties sign the project engineering general contract.
4、保密
4. Confidentiality
在本备忘录签订的有效期限内，双方应严格保守对方的国家安全信息、技术信息、财务信息、客户资料信息、价格信息等；确实需要披露对方相关保密信息时，应取得对方书面允许后，才能以对方同意的方式或渠道进行信息发布。
In the effective period of this Memorandum, both parties shall strictly keep each other's national security information, technical information, financial information, customer information, price information, etc.; if it really needs to disclose confidential information related to the other party, it can conduct information release in the way or channels with the consent the other party only after obtaining the other party’s written permission.
5、违约
5. Breach
（1）发生下列任何一个或多个事件都将构成对本备忘录的违约：
(1) Any one or more of the following events will constitute a breach of this Memorandum:
A. 任何一方存在有实质性违反本备忘录条款，或未能在任一实质方面履行其在本备忘录项下的义务，且在收到另一方要求补救的书面通知后十（10）日内未能补救上述违约或不履约行为的；或者
A. Any party materially breaches the terms of this Memorandum, or fails to carry out the obligations in any of its substantial aspects under this Memorandum, and fails to remedy such breach or non-performing behavior within ten (10) days after receiving written notice of remedy request by the other party; or
B．任何一方在备忘录框架下的承诺、声明或保证在任一实质方面被证明是虚假的或具误导性的。
B. Any party’s commitment, statement or guarantee under the framework of the Memorandum was proved to be false or misleading in any substantial aspect.
（2）若任一方违反本备忘录，其应就其违约行为对另一方造成的任何及全部损害承担赔偿责任，但间接损害除外。守约方有权随时单方决定解除本备忘录而无需承担任何责任。
(2) If either party breaches this Memorandum, it shall bear the compensation liability for any and all damage of the other party caused by the breach, except indirect damage. The observant party shall have the right to decide to terminate this Memorandum unilaterally at any time without having to bear any responsibility.
6、法律适用和管辖
6. Applicable laws and jurisdiction
（1）因本备忘录所引起的或与之相关的任何争议､纠纷､分歧或索赔，包括备忘录的存在､效力､解释､履行､违反或终止，或因本备忘录引起的或与之相关的任何非合同性争议，均应提交由香港国际仲裁中心管理的机构仲裁，并按照提交仲裁通知时有效的《香港国际仲裁中心机构仲裁规则》最终解决。
(1) Any controversy, dispute, disagreement or claim for compensation caused by or associated with this Memorandum, including the existence, validity, interpretation, performance, breach or termination of the memorandum, or any non-contractual dispute caused by or associated with this memorandum, shall be submitted to institutions managed by the Hong Kong International Arbitration Center for arbitration, and finally solved in accordance with the Arbitration Rules of the Hong Kong International Arbitration Center effective upon the presentation of the notice of arbitration.
（2）本备忘录适用法律为中国法。仲裁地应为香港。仲裁员人数为三（3）名。仲裁程序应按照英文进行。
(2) This Memorandum shall apply Chinese law. The place for arbitration shall be Hong Kong. The number of arbitrators shall be three (3). Arbitration proceedings shall be conducted in English.
7、其他事宜
7. The miscellaneous
（1）双方的共识，以及双方之间的信任与相互合作是本备忘录得以履行和合作目标得以实现的重要基础，双方一经确认，除本备忘录另有约定之外，一方在未经另一方事先认可的情况下，不应将本备忘录项下的全部或部分权利或义务转让给第三方。
(1) The consensus, trust and cooperation between both parties are important basis to fulfill this Memorandum and cooperation targets; upon confirmation by both parties, unless otherwise agreed in this Memorandum, without the other party’s prior approval, either party shall not transfer all or part of rights or obligations to a third party under this memorandum.
（2）本备忘录以中英文双语写作，其最终与英文解释为主。并签署四（4）份原件，每方各执二（2）份，自双方签字盖章之日起生效，有效期为1年。
(2) This Memorandum shall be written in both Chinese and English, with the ultimate explanation given priority to English. Four (4) originals shall be signed, and two (2) copies for each party; it shall come into force as of the date of signature and seal by both parties, valid for 1 year.
本备忘录由双方妥善授权代表于文首所列日期签署，以昭信守。
IN WITNESS WHEREOF, an authorized representative of each of the parties has executed this Agreement as of the date first written above.
